These Terms of Service (“Terms”) govern the use of the Confide application (“Confide,” “the App”), owned and operated by Von Ventures LLC (“Company,” “we,” “us,” or “our”). By downloading, installing, or otherwise accessing or using Confide, you (“User,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to any provision in these Terms, you must cease using Confide immediately.


1. Introduction

1.2 Governing Law and Jurisdiction

These Terms shall be governed by, and construed in accordance with, the laws of the State of Missouri, United States of America, without regard to conflict-of-law principles. Any dispute arising under or in connection with these Terms shall be subject to arbitration or, where applicable, the courts of Missouri.

1.3 Age Requirements

By using Confide, you represent that you have the legal capacity to form a binding contract. If required by applicable law (for example, if you are under the age of 13 in the United States), you must have your parent or legal guardian’s permission to use Confide.


2. User Accounts

2.1 Account Creation

In order to access certain features of Confide, you may be required to create a user account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

2.3 Termination of Account

We reserve the right, in our sole discretion, to suspend or terminate any account that violates these Terms or otherwise creates risk or exposes us to liability. You may also terminate your own account at any time by following the instructions provided in the App settings or by contacting team@confide.app. Upon termination, your data will be handled in accordance with Section 4.2 and our Privacy Policy.


3. User Content

3.1 Nature of User Content

Confide allows users to submit, record, or upload various forms of content including text, audio, video, and photographic media (collectively, “User Content”). Confide is designed as a private journaling platform; User Content is not publicly displayed or shared by default.

3.2 Ownership and License

Ownership
You retain ownership of all User Content you create or submit.

License to Us
By uploading User Content, you grant the Company a limited, non-exclusive, royalty-free license to store, process, and display your Content within your Confide account solely as necessary to provide the App’s features (e.g., AI analysis, mood recaps, backups for premium users). We will not publicly share or distribute your User Content without your explicit consent.

3.3 Prohibited Content

You agree not to upload or submit any User Content that:

  • Violates any applicable local, state, national, or international law or regulation;
  • Is unlawful, defamatory, threatening, harassing, abusive, obscene, or otherwise objectionable;
  • Infringes upon or misappropriates any intellectual property, privacy, or other rights of a third party;
  • Contains viruses, malware, or any other harmful code.

3.4 No Moderation of Private Entries

Because Confide is designed for private journaling, we generally do not moderate private entries. You remain fully responsible for your own User Content.


4. Data Handling and Privacy

4.1 Privacy Policy

Your use of Confide is governed by our Privacy Policy, which is incorporated herein by reference. You acknowledge that by using Confide, you have reviewed and agree to the Privacy Policy.

4.2 Data Retention and Deletion

  1. You may delete your account at any time, and we will remove your User Content from our systems in accordance with our Privacy Policy, subject to any legal retention obligations.
  2. Upon deletion, any associated data backups or third-party data storage will be purged within a reasonable timeframe.

4.3 Local and Cloud Storage

  • By default, user video and photographic material is stored locally on the user’s device.
  • In some cases, textual data may be stored with our data provider, MongoDB, in order to power AI analysis and interactivity features.
  • Premium members are automatically opted in to cloud backups (e.g., via AWS). You may opt out of cloud backups at any time through your account settings.

5. Subscriptions and Payments

5.1 Subscription Plans

Confide may offer various subscription tiers (e.g., weekly, monthly, yearly) and reserves the right to modify, introduce, or discontinue any plan at its sole discretion. Free trial periods (e.g., 3-day, 7-day) may be offered from time to time.

5.2 Billing and Renewals

Automatic Renewal
Unless you cancel before the end of the current subscription term, your subscription will automatically renew for an additional term at the then-current subscription rate, in accordance with Apple App Store, Google Play Store, or Stripe default billing cycles.

Free Trials
If you do not cancel before the free trial ends, you will automatically be charged the applicable subscription fee.

5.3 Refunds and Cancellations

App Store Purchases
If you subscribed via the Apple App Store, any refund requests must be directed to Apple, subject to their policies.

Web or Other Platform Purchases
We generally do not offer refunds unless otherwise determined on a case-by-case basis at our sole discretion.

Cancellation
You may cancel your subscription at any time; however, your access to premium features will continue until the end of the current billing cycle.


6. Intellectual Property

6.1 Ownership of the App

The App, including but not limited to all designs, text, graphics, software code, and logos, is the exclusive property of Von Ventures LLC. Users acquire no ownership or other interest in any Company intellectual property by using the App.

6.2 Restrictions

You shall not copy, modify, reproduce, distribute, display, create derivative works from, or reverse-engineer any portion of Confide except as expressly permitted by law or these Terms.


7. Disclaimers and Limitation of Liability

7.1 Not a Substitute for Professional Help

Confide’s AI suggestions, bestie feature, or mood insights are for informational purposes only and do not constitute professional mental health or medical advice. The App is not a substitute for professional counseling, therapy, or other qualified healthcare services.

7.1.1 Bestie Feature

Confide’s “bestie” feature is designed for casual use and is powered by AI. It is not intended to replace consultation with a licensed therapist, counselor, or other qualified healthcare professional. If you are experiencing suicidal thoughts, contemplating self-harm, or experiencing any form of abuse, please call the Suicide & Crisis Lifeline at 988 (in the United States) or visit https://www.apa.org/topics/crisis-hotlines for additional resources and support.

7.2 Use at Your Own Risk

Confide is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.3 Downtime and Data Loss

We do not guarantee uninterrupted or error-free operation of the App. We are not liable for any losses or damages caused by App downtime, data loss, or technical issues beyond our reasonable control.

7.4 Limitation of Liability

To the fullest extent permitted by law, Von Ventures LLC, its affiliates, and their respective officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, nor for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from or related to your use of or inability to use Confide.


8. Termination

8.1 Termination by Company

We may, at our sole discretion, suspend or terminate your access to Confide if we believe you have violated these Terms, created risk or legal exposure for the Company, or for other legitimate reasons.

8.2 Effect of Termination

Upon termination, your right to use the App will immediately cease, and we may delete any of your User Content from our systems in accordance with our Privacy Policy.


9. Dispute Resolution

9.1 Arbitration

Any dispute arising out of or relating to these Terms or your use of Confide shall be submitted to binding arbitration in the State of Missouri, in accordance with the rules of the American Arbitration Association, and judgment on the award may be entered in any court having jurisdiction thereof.

9.2 Class Action Waiver

You agree that any dispute resolution proceeding shall be conducted only on an individual basis and not as a class, consolidated, or representative action.

9.3 Venue

In the event that a dispute is determined not to be arbitrable, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Missouri.


10. Modifications to the Terms

We reserve the right to update, modify, or replace any portion of these Terms at any time, without prior notice. The most current version will be posted on our website or within the App. Your continued use of Confide following the posting of changes constitutes your acceptance of such changes.

Acknowledgment
